These Terms of Service ("Terms") govern your use of the Yatai application ("Yatai" or the "App") developed by OMNIViOLET LLC. By accessing or using Yatai, you agree to comply with and be bound by these Terms. If you do not agree with any provision of these Terms, you must refrain from using the App.

1. Acceptance of Terms

By accessing or using the Yatai app, you expressly acknowledge and agree to the terms and conditions set forth in these Terms. Your continued use of the App constitutes acceptance of any modifications or updates to these Terms.

2. Misuse of Application

The misuse of the Yatai application by vendors, including but not limited to violations of applicable laws or engaging in fraudulent activities, may result in the immediate suspension or termination of their account without prior notification, and without the entitlement to any refund of subscription fees.

3. Account Access and Disabling

OMNIViOLET LLC reserves the irrevocable right to disable access to the Yatai application or suspend a user's account at any time and without prior notice, for reasons including but not limited to improper usage, violation of these Terms, or any other matter deemed necessary by OMNIViOLET to protect its interests.

4. Liability for Misuse

OMNIViOLET LLC shall not be held liable for any misuse of the Yatai application, including the submission of false information such as names, locations, or menu items by vendors. Users encountering such issues are encouraged to promptly report such instances via the designated reporting mechanism at https://yatai.app/report.

5. Payment Terms

Vendors are obliged to remit a monthly fee of $10 or an annual fee of $100 for access to the vendor tools within Yatai. Failure to remit the prescribed fees for the respective month or year will result in the restriction of access to vendor tools, while access to the account as a whole shall remain unaffected.

6. Prohibited Actions

Users are expressly prohibited from engaging in any reverse engineering activities, disassembly, or decompilation of any part of the Yatai website or application. Any attempt to exploit, hack, or gain unauthorized elevated access to the system is strictly forbidden.

7. Arbitration

Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial [or other] Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

8. Additional Terms

Intellectual Property: All intellectual property rights related to the Yatai app, including but not limited to trademarks, copyrights, and patents, are the exclusive property of OMNIViOLET LLC. Users are strictly prohibited from reproducing, modifying, distributing, or creating derivative works without the express written consent of OMNIViOLET LLC.
Privacy Policy: By using Yatai, users agree to abide by the terms and conditions outlined in the Privacy Policy, accessible at https://yatai.app/privacy.
Termination of Service: OMNIViOLET LLC reserves the unequivocal right to terminate or suspend the Yatai app or any of its services at any time and without prior notice.
Changes to Terms: OMNIViOLET LLC may, at its sole discretion, update these Terms at any time. Continued use of the Yatai app following such changes constitutes acceptance of the revised Terms.
Governing Law: These Terms of Service are governed by and construed in accordance with the laws of United States of America.
